Centscape Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Centscape’s website, mobile applications, and related services (collectively, the “Services”). The Services are operated by ParkCore Inc., doing business as Centscape (“Centscape,” “we,” “us,” or “our”).
By creating an account, clicking “I agree,” or using the Services, you agree to these Terms. If you do not agree, do not use the Services.
Important: Section 19 contains an arbitration agreement and class action waiver that affect your rights.
1) Definitions
“You” means the person using the Services.
“Third-Party Services” means services provided by third parties (including banks/financial institutions, payment processors, account-data providers, identity/KYC providers, rewards providers, and merchants).
“Feature Terms” means any additional terms, addenda, disclosures, or rules that apply to specific features (see Section 8).
“Linked Account” means any external account you connect to the Services.
2) Who We Are; Not a Bank
Centscape is a technology platform. Centscape is not a bank and does not itself provide banking services.
Certain features may be provided through Third-Party Services, including regulated financial institutions and other vendors. Where a feature is provided by a third party, it may require your agreement to additional terms and/or disclosures.
3) Eligibility
You must be at least 18 years old (or the age of majority where you live) and able to form a binding contract to use the Services. You represent and warrant that you meet these requirements.
We may limit access to the Services to comply with law, policy, or risk requirements.
4) Account Registration and Security
You may need an account to use certain features. You agree to:
Provide accurate and complete information and keep it current.
Maintain the confidentiality of your credentials.
Notify us promptly of any unauthorized access or suspected security incident.
You are responsible for all activity under your account, unless prohibited by applicable law.
5) The Services; No Guarantee
Centscape may provide functionality such as savings goals, recurring/roundup transfer logic, item-based savings tracking, and rewards/redemption flows.
We may add, modify, suspend, or discontinue any part of the Services at any time. We do not guarantee uninterrupted availability or that any feature will always be available.
6) Pre-Release Features
Some features may be offered as alpha, beta, pilot, or otherwise pre-release (“Pre-Release Features”). Pre-Release Features are provided as is and may change, be removed, or be discontinued at any time.
7) Fees; Taxes
Fees (if any) will be disclosed at or before your use of the applicable feature. Third parties may charge separate fees under their own terms.
You are responsible for any taxes that may apply to your use of the Services, including taxes related to rewards, unless required by law otherwise.
8) Feature Terms and Third-Party Services (Partner-Agnostic)

Any required disclosures or consent language shown in-app
Feature Terms are incorporated into these Terms by reference and become part of your agreement with us when you enable or use the relevant feature.
8.2 Third-Party Services
Some features depend on Third-Party Services. Those third parties may have their own terms, policies, eligibility rules, and fees. We will present or provide access to applicable third-party terms at or before the time you enable or use the related feature.
If you do not agree to the applicable third-party terms, you may not use the related feature.
8.3 No Responsibility for Third-Party Services
Third-Party Services are not under our control. To the maximum extent permitted by law, we are not responsible for third-party acts or omissions, outages, errors, or fees, except as required by applicable law.
9) Authorization to Share Information and Act on Instructions
When you use features that rely on Third-Party Services, you authorize Centscape to:
Share information and instructions with relevant third parties as necessary to provide the feature (including identity verification, account linking, transfers, and rewards fulfillment).
Initiate and transmit transactions or requests consistent with your in-app settings and instructions.
Receive and display information returned by Third-Party Services.
You are responsible for confirming the accuracy of your instructions (e.g., amounts, timing, destination) before submission.
10) Identity Verification; Compliance
To comply with law and manage risk, we (or our Third-Party Services) may require identity verification, fraud checks, sanctions screening, or additional information before enabling certain features or processing certain requests.
We may:
Suspend or limit features pending verification,
Refuse requests we reasonably believe may be fraudulent or unlawful,
Impose transaction limits, holds, or restrictions as required by law or Third-Party Services.
11) No Financial, Tax, or Legal Advice
Centscape does not provide investment, tax, or legal advice. Content and information within the Services are for general informational purposes only and should not be relied upon as advice.
12) Rewards, Gift Cards, and Promotional Value
If the Services include rewards, gift cards, or promotional value:
Rewards may be subject to eligibility rules, limits, reversals, expiration, and availability.
Rewards may have no cash value unless explicitly stated.
We may modify or terminate rewards programs at any time, subject to applicable law and any Feature Terms.
You are responsible for any tax obligations associated with rewards.
13) Referral Program
If the Services include referrals:
Referrals are for personal, lawful use only.
We may withhold, reverse, or cancel referral benefits if we reasonably suspect abuse, fraud, duplication, or violation of these Terms or Feature Terms.
Additional referral rules may apply and will be provided as Feature Terms.
14) User Content and Feedback
You may submit content (e.g., feedback, messages, support requests) (“User Content”). You retain ownership of your User Content, but you grant Centscape a worldwide, non-exclusive, royalty-free license to use, host, store, reproduce, modify (for technical purposes), and display it solely to operate, maintain, and improve the Services.
If you provide suggestions or feedback, you grant us the right to use it without restriction or compensation.
15) Acceptable Use; Prohibited Conduct
You agree not to:
Use the Services for illegal activity, fraud, money laundering, or sanctions evasion.
Attempt unauthorized access, interfere with system integrity, or introduce malware.
Reverse engineer, scrape, or misuse the Services in a way that violates our policies or harms others.
Misrepresent identity or submit false information.
Abuse rewards or referrals (including creating multiple accounts to exploit benefits).
We may investigate violations and take action, including suspension or termination.
16) Privacy
Our collection and use of personal information are described in our Privacy Policy: https://www.centscape.com/privacy-policy . The Privacy Policy is incorporated into these Terms by reference.
17) Intellectual Property
The Services and all related content (excluding User Content) are owned by Centscape and/or its licensors and are protected by law. You are granted a limited, non-exclusive, non-transferable, revocable license to use the Services for personal, lawful purposes, subject to these Terms.
You may not copy, modify, distribute, sell, lease, reverse engineer, or create derivative works from the Services except as permitted by law.
18) Suspension; Termination
We may suspend or terminate your access to the Services if:
You violate these Terms or applicable Feature Terms,
We reasonably suspect fraud, security risk, or unlawful activity,
We are required to do so by law or by Third-Party Service requirements,
Or we discontinue the Services.
You may stop using the Services at any time. Sections intended to survive (e.g., limitations of liability, arbitration, indemnity) will survive termination.
19) Dispute Resolution; Arbitration; Class Action Waiver
19.1 Informal Resolution First
Before initiating arbitration, you agree to contact us at legal@centscape.com with a brief description of the dispute and your contact information. We will attempt to resolve the dispute informally within 30 days.
19.2 Agreement to Arbitrate
If we cannot resolve the dispute informally, you and Centscape agree to resolve any dispute or claim arising out of or relating to these Terms or the Services by binding arbitration, rather than in court, except as set forth below.
This arbitration agreement is governed by the Federal Arbitration Act (“FAA”).
19.3 Exceptions
Either party may bring:
Claims in small claims court (if eligible) on an individual basis, or
Claims seeking injunctive or equitable relief for misuse of intellectual property or unauthorized access.
19.4 Arbitration Provider; Rules
The arbitration will be administered by the American Arbitration Association (AAA) under its applicable consumer arbitration rules, as modified by these Terms. The arbitrator will have authority to decide issues of arbitrability and to award any relief available under applicable law, subject to these Terms.
19.5 Location; Remote Proceedings
Arbitration will take place in Delaware, unless you and Centscape agree otherwise. The parties may agree to conduct the arbitration remotely (e.g., by video conference) where permitted by the AAA rules.
19.6 Class Action Waiver
You and Centscape agree that disputes will be brought only in an individual capacity and not as a plaintiff or class member in any purported class, collective, or representative proceeding. The arbitrator may not consolidate claims or preside over any class proceeding.
19.7 Opt-Out
You may opt out of arbitration by sending an email to legal@centscape.com within 30 days of first accepting these Terms, with your name and the email associated with your account and a clear statement that you wish to opt out.
20) Governing Law
Except where the FAA applies (including Section 19), these Terms are governed by the laws of the State of Delaware, without regard to conflict of laws rules.
21) Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that the Services will be uninterrupted, error-free, secure, or free of harmful components.
22) Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CENTSCAPE AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR REVENUE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CENTSCAPE’S TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF:
(A) THE AMOUNT YOU PAID TO CENTSCAPE (IF ANY) IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM; OR
(B) $100.
Some jurisdictions do not allow certain limitations; in that case, these limits apply to the extent permitted.
23) Indemnification
You agree to indemnify and hold harmless Centscape and its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to:
Your use of the Services,
Your violation of these Terms or Feature Terms,
Your violation of law or third-party rights,
Your User Content.
24) Changes to These Terms
We may update these Terms from time to time. If changes are material, we will provide notice as required by law. The updated Terms will be effective as of the “Last Updated” date. Continued use after the effective date constitutes acceptance, except where we require express consent.
25) Miscellaneous
Assignment: You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition, reorganization, or sale of assets.
Severability: If any provision is unenforceable, the remaining provisions remain in effect.
No Waiver: Failure to enforce a provision is not a waiver.
Entire Agreement: These Terms, the Privacy Policy, and any Feature Terms are the entire agreement between you and Centscape regarding the Services.

Feature Terms
A) Account Linking / Data Access Feature Terms
Scope of Access. If you connect a Linked Account, you authorize Centscape and applicable Third-Party Services to access and retrieve account information (which may include balances, transactions, account identifiers, and related data) for the purpose of providing the feature you enabled.
Your Responsibility. You are responsible for ensuring you have the right to link the account and that the information you provide is accurate.
Accuracy and Availability. Linked Account data may be delayed, incomplete, or unavailable. Centscape is not responsible for errors originating from Third-Party Services or the financial institution.
Revocation. You may revoke access by unlinking accounts within the app (where available) and/or through the Third-Party Service method provided to you. Revocation may not be immediate.
Credentials. Do not share your Centscape credentials. If a Third-Party Service uses its own authentication flow, you agree to follow their security practices.
B) Money Movement / Transfers Feature Terms
Third-Party Processing. Transfers may be executed by Third-Party Services (including regulated financial institutions and/or payment processors). Additional third-party terms and disclosures may apply.
Authorization. By initiating a transfer or enabling recurring transfers, you authorize Centscape (and applicable Third-Party Services) to debit/credit the specified accounts in accordance with your instructions.
Timing. Transfer timing is estimated and may vary due to bank processing, weekends/holidays, risk holds, verification, or third-party outages.
Limits, Holds, Returns. We may impose limits or holds to comply with law, manage risk, prevent fraud, or satisfy Third-Party Service requirements. Transfers may fail or be returned for reasons outside our control (e.g., insufficient funds, incorrect details).
Error Handling. If you believe an error occurred, contact support promptly at tech@centscape.com. Your rights may also be described in any applicable disclosures presented in-app.
C) Rewards / Gift Cards Feature Terms
Eligibility and Availability. Rewards may be conditioned on eligibility rules and may be limited or discontinued.
No Cash Value. Rewards have no cash value unless explicitly stated.
Reversals. We may reverse rewards if a qualifying activity is reversed, refunded, disputed, or found to be fraudulent or abusive.
Third-Party Terms. Gift cards and redemption may be fulfilled by third parties and subject to their terms.
D) Referral Program Feature Terms
Anti-Abuse. Referrals must be genuine. Duplicate accounts, self-referrals, automated scripts, or other abuse may result in disqualification, reversal, and suspension.
Program Changes. We may modify or terminate the referral program at any time.
Verification. Referral benefits may be delayed pending verification.
END OF FEATURE TERMS
